Ông Nguyễn Văn Hòa là chủ DN tư nhân An Hòa có trụ sở tại TP. HCM kinh doanh rượu. Ông muốn cùng công ty Roska quốc tịch Thái Lan góp vốn với nhau để thành lập một doanh nghiệp sản xuất và chế biến thực phẩm tại Đồng Nai. Hỏi:

a) Hãy tư vấn cho ông Hòa và công ty Roska về việc lựa chọn hình thức pháp lý doanh nghiệp tại Việt Nam?

b) Sau một thời gian hoạt động, giả sử công ty Roska muốn chuyển nhượng toàn bộ vốn góp của mình cho ông Hòa thì hậu quả pháp lý của việc chuyển nhượng này đối với công ty ra sao?
