Wanda Workout, a resident of North Carolina, ordered a weight system, some dumbbells, and other
fitness equipment from Shapely Corporation, which was located in Tampa, Florida. Shapely would
deliver the goods via carrier by August 1, and Wanda would make three payments of $850 each. The
contract terms provided for delivery FOB Charlotte. Shapely delivered the merchandise to East
Coast Common Carriers on July 15. Sal, Shapely's manager, informed Charles, the driver for East
Coast, that the equipment was very expensive and to drive carefully. He also told him that the boxes
needed to be stacked a certain way. East Coast left around 4:00 p. m. on July 30, but did not arrive in
Charlotte, North Carolina until 8:00 a. m. on August 2 because of several road delays. Wanda rejected
the conforming goods. East Common returned the goods to Shapely. Shapely then sued Wanda for
breach of contract.
